Terms of Service

The rules for using Matrixel — your account, credits and payments, the content you upload, and what you can expect from the service.

1. Agreement to these terms

These Terms of Service ("Terms") govern your access to and use of Matrixel, available at matrixel.xyz, and any related applications and services (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

The Service is operated by [Registered legal entity — to confirm] ("Matrixel", "we", "us"). If you use the Service on behalf of a business, you confirm you are authorised to accept these Terms for that business.

2. Eligibility and accounts

You must be at least 18 years old and able to enter into a binding contract to use the Service. You are responsible for the information you provide, for keeping your login credentials secure, and for all activity under your account.

You can sign in with an email and password or with Google. You must give accurate account information and keep it up to date. Tell us promptly at support@matrixel.xyz if you suspect unauthorised use of your account.

3. The Service

Matrixel turns still images you upload into short generated videos ("clips") using AI effects. You select an effect, upload one or more images, optionally set the effect's inputs, and we generate a clip at a fixed length and aspect ratio you choose.

The Service is provided on an ongoing basis and may change over time. Some features may be offered on a trial, preview or beta basis and may be modified or withdrawn.

4. Credits, plans and payments

Generating a clip costs credits, priced by the effect's duration and shown before you generate. Your balance is made up of two wallets: subscription credits, which are granted by a plan and reset at the start of each billing cycle (use-it-or-lose-it), and purchased credits, which are bought as one-off top-ups and roll over.

You can pay by card through our payment processor (Stripe) or manually by wallet transfer (InstaPay or Vodafone Cash) by uploading a screenshot of the transfer for review. Card payments apply automatically once processed; manual payments and manual subscription renewals are applied after we verify the transfer and may be rejected if we cannot confirm it.

Prices are shown in the Service and are payable in the currency indicated. You are responsible for any taxes that apply to your purchase. We may change prices and plan features prospectively; changes do not affect credits already granted.

5. Your content and rights

You keep ownership of the images you upload ("Your Content"). You grant Matrixel a limited licence to host, process and transform Your Content solely to operate the Service and generate your clips, including sending it to the AI models and cloud storage we use for that purpose.

You represent that you own or have the necessary rights to Your Content and to any property, people, logos or trademarks shown in it, and that generating clips from it does not infringe anyone's rights or break any law. As between you and Matrixel, the clips generated for you are yours to use, subject to these Terms and any third-party rights in the underlying material.

6. Acceptable use

You agree not to use the Service to:

  • upload content you do not have the rights to, or that infringes intellectual property, privacy or other rights;
  • create material that is unlawful, deceptive, defamatory, or that misrepresents a property, location or its condition in a way that could mislead buyers or tenants;
  • depict identifiable people or private property without the necessary consent, or create misleading "deepfake" content;
  • attempt to reverse-engineer, scrape, overload, or bypass the security or usage limits of the Service;
  • resell or provide the Service to third parties except as expressly permitted.

7. AI-generated output

Clips are produced by automated AI models. They are creative renderings and may add, remove, alter or invent details that are not present in your source images. You are responsible for reviewing every clip before using it and for ensuring it does not misrepresent a real property or mislead anyone. Do not present generated clips as an accurate or literal record of a property where that would be misleading or unlawful.

8. Intellectual property

The Service itself — including its software, effects, models, branding and content we provide — belongs to Matrixel or its licensors and is protected by law. These Terms do not grant you any rights in the Service other than the limited right to use it as described here.

9. Third-party services

The Service relies on third parties, including Google (sign-in), Stripe (card payments), and Google Cloud (storage and processing). Your use of those features may also be subject to the third party's terms. We are not responsible for third-party services we do not control.

10. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. Where reasonable, we will give notice. Sections that by their nature should survive termination (such as payment, IP, disclaimers and liability) will continue to apply.

11. Disclaimers and limitation of liability

The Service is provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that generated clips will meet your requirements.

To the fullest extent permitted by law, Matrixel will not be liable for indirect, incidental, special or consequential losses, or for lost profits, data or goodwill. Our total liability arising out of or relating to the Service is limited to the amount you paid us for the Service in the three months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.

12. Indemnity

You agree to indemnify Matrixel against claims, losses and expenses arising from Your Content, your use of the Service, or your breach of these Terms, to the extent permitted by law.

13. Governing law and changes

These Terms are governed by the laws of [Governing jurisdiction — to confirm], and the courts of that jurisdiction will have exclusive jurisdiction over disputes, unless mandatory local law provides otherwise.

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Service after changes take effect means you accept the updated Terms.
